Terms of Use

1. Who we are, and what these Terms cover

We are Panoptic Bio, Inc.

These Terms cover everything we run:

  • panoptic.bio, our company site
  • trialterminal.bio, the Trial Terminal
  • tower.panoptic.bio, the BioTower
  • finance.panoptic.bio, the Finance tool

Below, "Panoptic" means all of that. "You" means you, the person using it.

By using Panoptic you agree to these Terms. If you do not agree, please do not use it.

2. Who can use Panoptic

You sign in with a Google account. We do not issue you a password and we never see one. Signing in for the first time creates your account. There is no separate sign up form.

There is no sign in on panoptic.bio. Sign in exists only on the Trial Terminal, the BioTower and the Finance tool.

We decide who gets access. A new account is either switched on right away or held for approval, depending on how we have things set at the time. Anyone can ask for access, with or without an account, and we will get back to you.

Your account is for you alone. Do not share your sign in with anyone else.

3. What is free and what is paid

A lot of Panoptic is free, including the trial search and the catalyst tracker. You do not pay for those.

Two paid plans exist: Insight and Integrate. Each one is a recurring subscription, and a paid plan is what unlocks the parts of the product that are not free.

A subscription covers one named person. It belongs to the account it was bought for, and never to that person's employer. Other people at your company need their own subscriptions if they want access.

There is no pay per report, no credit pack and no token.

4. How a paid plan starts

You cannot buy a plan yourself: Panoptic has no checkout button anywhere and no billing page.

The only route in runs through a sales conversation:

  1. You talk to us and we show you the product.
  2. If we agree on a plan, we create a link to a Stripe checkout page for your account and send it to you.
  3. You open that link and enter your card details on Stripe's own page.

Stripe handles the payment. We never see or store your card number. To Stripe we send your email address, your name and an internal account number, so it knows which account the payment belongs to. That transfer happens when we create the link, before you pay anything.

No purchase confirmation comes from us.

Granted plans. We sometimes give an account a paid plan at no charge. A granted plan costs nothing, does not renew, does not run out on its own, and we can end it at any time for any reason. Nothing in the paid sections below applies to a granted plan, because there is no payment.

5. Price, renewal, and stopping a plan

Price. The price that counts is the one shown on the Stripe page when you pay. Any figure quoted to you before that, in a conversation or an email, is an indication and is not binding.

Billing period. Plans are billed monthly or yearly, whichever we agreed.

Renewal. A plan renews automatically at the end of each period until it is stopped. Your card is charged again each time.

Stopping. The product has no cancel button today. To cancel, email info@panoptic.bio. We will normally cancel at the end of the period you have already paid for, and you keep access until then. If you want it to stop straight away instead, say so, and understand that you lose the rest of the period.

Failed payments. If a payment fails we may keep your access on for a short grace period while it is sorted out. After that we can suspend access.

6. Refunds and billing problems

Refunds do not happen automatically. If you think you are owed one, email info@panoptic.bio and we will look at it. Whether we give one is our decision, unless the law says otherwise.

Your paid access stops if a payment is refunded in full, or if you reverse it with your bank. A partial refund does not affect your access.

Email us if you are charged twice, or charged for something you did not agree to. We will look into it and correct any charge we should not have taken.

7. Where the data comes from, and what you may do with it

Most of what you see in Panoptic is not ours. It comes from public clinical trial registries and other outside sources, including:

  • trial records from ClinicalTrials.gov and the EU Clinical Trials Information System
  • disease and condition terms from MONDO and Orphanet, published under the Creative Commons Attribution 4.0 licence, and from MeSH, courtesy of the U.S. National Library of Medicine
  • drug and regulatory information from other public and commercial sources
  • the biological foundation model records in our model registry, together with their written descriptions, their citations and their openness scores. Those come from an outside registry that publishes them. We do not write the descriptions and we do not work out the scores.

We do not own that material, and these Terms do not claim it.

An open licence beats these Terms. Where source material is published under an open licence such as Creative Commons Attribution 4.0, that licence decides what you may do with it. These Terms do not. Nothing here takes away a right that licence gives you. Follow the licence when you reuse that material. That normally means crediting the original source.

We cannot give you rights we do not have. Some of what reaches you through Panoptic arrives under somebody else's terms. Check that source's terms first if you plan to republish or resell material you got here. Do not rely on us for permission we may not hold.

What you may do with our part. You may use Panoptic's reports, figures and analysis for your own research, investment analysis and business decisions. That right is yours, not your company's. Do not pass paid reports on to other people, inside or outside your organisation.

What you may not do. Do not repackage Panoptic, or our reports, as a product or service you sell to other people.

8. What we do not promise

Panoptic is provided as is. We do not promise it will be accurate, complete, current, available, or fit for any particular purpose.

The numbers need reading with care:

  • Probability of Success is a model estimate. It is a statistical estimate produced by software. It is not a fact, it is not a measurement, and it is not a forecast of what will happen to that trial.
  • Confidence ranges and precision labels are estimates. As the product is set up today, they come from an assumption we have chosen. They are not a measured margin of error.
  • Valuations and net present value figures rest on assumptions. Many inputs are entered by a person or left at a default value. Change the assumptions and the number changes.
  • Some text is written by AI. A language model writes part of the explanation next to a probability, and nothing on screen marks it as such. Some disease figures are model estimates, and those ones are marked on screen.
  • The Finance tool is a preview. Its share prices, valuations, ratings and analyst figures are placeholders. No market data feed sits behind them, even though they appear beside the names of real listed companies. Other parts of Panoptic are previews too. Some preview screens say so and some do not, so do not assume a figure is real just because there is no warning beside it.

Our Data and Model page explains where each figure comes from and what it is not. It forms part of these Terms.

None of it is advice. Nothing in Panoptic is investment advice, financial advice, medical advice or clinical advice, and none of it is a recommendation to buy or sell anything. Do your own work and take your own professional advice before you act.

We are not obliged to provide support, keep any feature running, or keep Panoptic available at all, and we can change or withdraw parts of it.

9. What you must not do

Do not:

  • try to break into Panoptic, or into any account that is not yours
  • copy, reverse engineer or resell our software or our interface
  • send automated traffic that puts an unreasonable load on the service, or work around our rate limits
  • use Panoptic to break the law, or to harm or harass anyone

We limit request rates and block abusive traffic. If you set those off repeatedly we may suspend you.

10. What you type into Panoptic

One box in the product takes free text from you: the message you send when you ask for access. We use it to answer you and to do what you asked. Nothing you send there is published, and Panoptic has no public posting or comment feature.

Our company site also has a contact form. That form is not live yet. A message sent through it today reaches nobody and is not stored anywhere. We are connecting it now, and once it is connected an outside email service will deliver your message to Panoptic Bio, Inc. so that we can reply to you.

Do not put confidential information, personal information about other people, or anything you would mind us reading, into either box.

11. Who owns what

We own Panoptic itself: the software, the interface, the design, our own models and the analysis our team writes. Using Panoptic does not transfer any of that to you.

The outside material described in section 7 is not ours, and we make no claim over it.

Our name and logo belong to us. Please do not use them without asking.

If you think we are publishing something we should not be, including your copyrighted work, email info@panoptic.bio and tell us what it is and where. We will look at it.

12. Suspending and closing accounts

We can suspend or close your account if you break these Terms, if we have to for legal or security reasons, or if your payment stops. Suspension takes effect immediately.

You can ask us to close your account at any time by emailing info@panoptic.bio. We will switch off your access.

Deleting your data. There is no delete function in the product at all. If you ask us to delete your data, one of our developers does it by hand, working directly on our database. Some things cannot be fully undone that way, and our Privacy page lists them.

13. Limits on our liability

We are not liable for indirect or knock on losses. That includes lost profits, lost business, lost opportunities, and losses from decisions you made using anything you found in Panoptic.

Our total liability to you, for everything, is limited to [ amount to be set ].

Nothing here limits liability that the law does not allow us to limit, such as liability for fraud.

If you break these Terms and that causes someone else to bring a claim against us, you agree to cover our reasonable costs of dealing with it.

14. Changes to these Terms

We can change these Terms. When we do, we will post the new version here with a new date at the top. If you keep using Panoptic after that, you accept the change.
